General Terms and Conditions of Sale

The following Conditions (as defined below) shall apply to the shipping and shopping services offered by Velvoros, a company operating in the United States of America (“USA”), to you (the “Member”). In order to receive the Service, you agree to abide by the following Conditions, as may be updated or amended from time to time, and any related operating rules that may be published from time to time by Velvoros on the Velvoros Website.

Reference in these Conditions to “you” or “your” shall refer to “the Member,” and “we,” “us,” or “our” shall refer to Velvoros.

These Conditions supersede and replace any previous conditions applicable to the Service.

1. Definitions

Additional Conditions mean any additional conditions published by us that vary or supplement these Conditions from time to time.

Conditions mean these terms and standard conditions applicable to the Service, as we may amend from time to time. These Conditions shall include any Additional Conditions, the Terms of Use, and the Privacy Policy published on the Velvoros Website, as amended from time to time.

Velvoros Website means the website operated by Velvoros.

Delivery Address means your local mailing or delivery address as registered at checkout on the Velvoros Website.

GST means goods and services tax, sales tax, or any similar tax that may be applicable, including any tax imposed in addition to or in substitution for such tax.

Item/Items means any actual physical package, article, material, good, or item that is the subject of the Service provided by us to you under these Conditions.

Member means a person registered for the Service and who has a Velvoros Account through the Velvoros Website.

Merchant means any online merchant or service provider that sells a non-Prohibited Item through an eligible online website, ships to a Velvoros Source Country, and allows the use of an international payment method.

Self-Collection Point means a designated collection location selected by the Member through the Velvoros Website for the self-collection of an Item, where such service is available.

Prohibited Item means any Item that is noxious, hazardous, inflammable, dangerous, illegal, explosive, offensive, radioactive, or otherwise prohibited or restricted by applicable law, or that may become liable to cause damage to any person or property. This includes Items classified as prohibited, restricted, hazardous, or dangerous by applicable transportation authorities, customs authorities, governmental departments, or other relevant organizations of the country of origin and/or destination country.

Shipment means the shipment of any Item by any means, including sea, air, or land, to you. Every Shipment is carried subject to the limitations of liability provided herein.

Velvoros Service means the services provided by Velvoros, including but not limited to shipping and shopping services and any other services that may be introduced from time to time. The Service is accessible through the Velvoros Website.

Velvoros Source Country refers to a country in which Velvoros has a designated address or logistics facility for the purposes of providing shipping and shopping services, including but not limited to the United States and other supported countries. The selection of a Velvoros Source Country may differ according to your purchase.

Velvoros Address means the address in a Velvoros Source Country provided by Velvoros for the purpose of providing the Service. Velvoros may, at its discretion, change this address or add new addresses from time to time.

Title headings are inserted for convenience of reference only and shall not affect the interpretation of the substantive provisions of these Conditions.

2. The Service

2.1 The Service provided by Velvoros allows you to shop and purchase from eligible online Merchants, provided that the Merchant operates in and ships to a Velvoros Source Country, and to have the Item delivered to your Delivery Address or collected by you at a Self-Collection Point, where available.

2.2 The Service includes:

(a) the receipt of your Item at a Velvoros Address in a Velvoros Source Country; and

(b) the delivery of your Item to your Delivery Address or Self-Collection Point.

2.3 You must not access or use, nor allow any other person to access or use, any part of the Service for any improper or unlawful purpose.

2.4 We aim to provide the Service continuously and at a high quality; however, we do not guarantee that the Service will be available at all times.

2.5 We reserve the right at all times to downgrade, suspend, change, cancel, and/or disconnect the Service or any part of the Service at our sole discretion, subject to applicable law.

3. Velvoros Account

3.1 In order to register for the Service, you will need to complete and set up a Velvoros Account on the Velvoros Website or as otherwise requested, and read, understand, and accept these Conditions.

3.2 You undertake to provide us with all identification documents and personal information that may be required for verification and authentication of your Velvoros Account and agree to notify us of any changes to this information.

3.3 You acknowledge and agree that your Velvoros Account is provided solely for the purposes of providing the Service set out under these Conditions and cannot be used for any other purpose, including as a billing address, personal mail delivery address, residential address, or personal contact details.

Any breach of this clause may result in suspension or deactivation of your Velvoros Account and, where legally required or appropriate, notification to the relevant authorities.

4. Duration

Subject to clause 2.5, we will start providing the Service and these Conditions shall become effective and binding as of the date of activation of your Velvoros Account, provided that you fulfill any setup, payment, activation, or other requirements requested by us.

The Service shall continue unless terminated in accordance with clause 15 of these Conditions.

5. Member Obligations

5.1 You are solely responsible for:

(a) using the Service in accordance with these Conditions;

(b) not using or allowing the use by any third party of the Service for any illegal, immoral, obscene, fraudulent, or otherwise prohibited purpose;

(d) providing accurate and complete information required in connection with your registration for the Service;

(e) ensuring that your Velvoros Account is kept secure, confidential, and up to date, and not revealing your account credentials to any other person;

(f) correctly completing, indicating, and updating your Delivery Address, Velvoros Account, and Velvoros Address, as applicable, when purchasing an Item from a Merchant's website;

(g) paying all expenses incurred in connection with your use of the Service;

(h) paying the Merchant directly for purchases made on the Merchant's website, including the price of the Item, handling fees, domestic shipping fees, and applicable sales taxes. We will not accept on your behalf any Item for which postage remains outstanding or any cash-on-delivery Item;

(i) ensuring that any use of the Service complies with all applicable laws and regulations of the country of origin and/or destination country, as well as applicable international law;

(j) ensuring that the Item purchased from the Merchant's website is not prohibited by the country of origin and/or destination country;

(k) confirming that the Item purchased is shipped to the correct Velvoros Address and not to an incorrect or outdated address, which may result in non-delivery;

(l) collecting or taking delivery of the Item;

(m) upon receipt or collection of the Item, checking that the Item is received in good order;

(n) ensuring that your Shipment does not relate to any restricted business under applicable laws and regulations;

(o) ensuring that your Shipment is not destined for any restricted area;

(p) ensuring that the Item is not prohibited or unacceptable under applicable local laws, regulations, or international law; and

(q) holding us harmless and indemnifying and keeping us indemnified against all demands, claims, actions, proceedings, damages, costs, charges, or expenses, including reasonable legal costs, incurred by us in connection with the Service performed for you, to the extent permitted by law.

5.2 Any Shipment received in violation of these Conditions or applicable law may result in the forfeiture, return, destruction, or disposal of the Shipment, together with notification to the relevant authorities where required.

5.3 We reserve the right to refer matters to the relevant authorities for investigation or prosecution in accordance with applicable law.

5.4 We reserve the right, at our sole discretion, to:

(a) open and inspect any Item in the Shipment where reasonably necessary for security, customs, regulatory, safety, or compliance purposes;

(b) abandon or suspend carriage of any Shipment after acceptance if the Shipment could cause damage or delay to other shipments, equipment, or personnel, or if any Item is prohibited by law or violates these Conditions; or

(c) dispose of any Item in an appropriate manner if we are unable to process or deliver the Item within thirty (30) days after the Shipment is received at the Velvoros Address, for any reason, subject to applicable law.

6. Our Responsibility

We will notify you of the amount you are required to pay for shipping fees, customs clearance charges, applicable taxes, and any other applicable charges referred to in clause 7.

In providing the Service, we act as an independent service provider and are not an agent of any Merchant unless otherwise specifically stated.

7. Payment

7.1 You agree to pay us:

(a) shipping fees at the rate applicable to your Shipment as displayed on the Velvoros Website or otherwise communicated to you;

(b) all government taxes and third-party charges payable in connection with the Shipment of your Item;

(d) any additional shipping fees if the Item does not comply with the specified delivery guidelines and additional processing is required.

7.2 Shipping fees may cover handling, international shipping, and local delivery from the Velvoros Address to your Delivery Address or Self-Collection Point. We reserve the right to change shipping fees from time to time.

7.3 You understand and agree that all applicable shipping fees and other charges are payable by you before the Item is delivered to your Delivery Address or made available for self-collection, regardless of who placed the order using your Velvoros Account.

7.4 Only payment through the Velvoros Website or another payment method specified by Velvoros will be accepted.

7.5 All payments must be made in full. Velvoros may hold an Item for which payment has not been made in full until the outstanding amount is paid. We also reserve the right to dispose of the Item in accordance with these Conditions and applicable law.

7.6 You shall compensate us for applicable storage costs, shipping fees, duties, taxes, and other expenses incurred if an Item is determined to be prohibited, dangerous, or illegal. We reserve the right to dispose of the Item if you fail to make required payments within thirty (30) days after notification, subject to applicable law.

8. Customs Regulations and Clearance, and Prohibited Items

8.1 It is your responsibility to understand and comply with the import and export regulations of the country of origin and destination country.

8.2 You should refer to the websites of the relevant government authorities of the country of origin and destination country for current information concerning customs duties, prohibited Items, and other regulations that may affect your Item or Shipment.

8.3 You acknowledge that customs authorities in the destination country may inspect, detain, hold, or otherwise process an Item for reasons permitted under applicable law. Velvoros is not responsible for consequences arising from such customs procedures or delays, except to the extent required by law.

8.4 Your Item or Shipment may be deemed unacceptable if:

(a) the Item is a Prohibited Item; and/or

(b) a customs declaration is required but has not been properly completed.

8.5 We will not carry, and you must not attempt to ship, any unacceptable Item described in this clause.

8.6 You shall be liable for losses or damages suffered by us and/or any third party as a result of your breach of this clause 8, to the extent permitted by law.

8.7 You may consult the relevant customs and government authorities for current lists of prohibited or restricted Items. Such lists may change from time to time, and Velvoros is not responsible for changes made by government authorities.

8.8 All imported Items may be subject to customs clearance.

8.9 You acknowledge that customs authorities may detain dutiable Items. We may notify you of the status of the Item where applicable. The Item may be released following examination and payment of charges required by the relevant customs authorities.

8.10 The import of controlled Items may require approval from the relevant customs authority. Items requiring approval may be detained until the required permits, licenses, or documentation are provided and applicable charges are paid.

8.11 Upon request by Velvoros, a relevant customs authority, or another government authority, you must provide:

(a) export documentation for Items requiring such documentation;

(b) invoices and/or other documentation related to the package, regardless of value; and/or

(c) identification documentation and personal information required for customs, security, verification, or regulatory purposes.

9. Delivery, Self-Collection and Repacking

9.1 An Item will only be delivered to a Delivery Address or Self-Collection Point, as applicable.

9.2 We will make reasonable efforts to deliver the Item within the estimated timeframe indicated on the Velvoros Website. Delivery times may be affected by customs procedures, carrier delays, weather, public holidays, security restrictions, and other circumstances outside our reasonable control.

9.3 We reserve the right to refuse delivery or make an Item available for self-collection if applicable charges have not been paid in full.

9.4 You acknowledge that the actual volumetric weight of an Item may differ from the initial estimated weight and that shipping charges may be adjusted accordingly.

9.5 An Item shall be delivered to the designated Delivery Address, but not necessarily directly to the named Member personally.

9.6 An Item will be shipped after it has arrived at the Velvoros Address and after all applicable payments due to us have been made.

9.7 To facilitate the Shipment of your Item, we may, at our discretion and on your behalf:

(a) complete documents required under applicable laws and regulations;

(b) act as a forwarding agent for customs and export-control purposes and coordinate with customs brokers where appropriate; and

9.8 If you fail or refuse to:

(a) pay applicable shipping fees or other charges;

(b) accept delivery;

(d) collect the Item; or

(e) accept an Item that is prohibited or otherwise deemed unacceptable,

we may, at our discretion:

(a) contact you to discuss an appropriate course of action;

(b) use reasonable efforts to return the Item to the Merchant at your cost; or

9.9 Additional charges may apply for redirection, return, storage, or disposal of an Item. You will be notified of such charges when they become due.

9.10 You may log in to your Velvoros Account to select a Self-Collection Point, where this option is available, before the Shipment leaves the Velvoros Address.

9.11 Upon delivery of the Item to a Self-Collection Point, an email notification may be sent to you. You agree to collect the Item within the timeframe stated in the notification.

9.12 We reserve the right to review, amend, add, or remove Self-Collection Points from time to time.

9.13 You may log in to your Velvoros Account to check the delivery status of the Item.

9.14 We may, at our discretion, repack an Item before shipping it from the Velvoros Address to your Delivery Address or Self-Collection Point.

9.15 In case of repacking, a repacking fee may apply. Applicable fees will be communicated through the Velvoros Website or otherwise before the service is performed.

9.16 You acknowledge that repacking an Item may affect the refund, return, rebate, exchange, or other policies of the Merchant. Velvoros shall not be responsible for any loss, damage, or liability resulting from such Merchant policy changes, except where required by applicable law.

10. Item Exchange, Return or Cancellation

10.1 As we primarily provide shipping and related logistics services, we shall not be directly responsible for claims for refunds, returns, rebates, or exchanges concerning Items purchased from a Merchant. You shall liaise directly with the Merchant regarding the Merchant's refund, return, rebate, exchange, and money-back guarantee policies and procedures.

10.2 For an exchange or return of an Item, you shall arrange to send the Item back to the Merchant at your own cost unless the Merchant's policy states otherwise. Velvoros may, at its discretion, provide guidance regarding an available return service but is not obligated to do so.

10.3 For the return of an Item to a Merchant while the Item is still located in a Velvoros Source Country, you may arrange the return through us by notifying us in writing. Such return may be subject to service charges and domestic delivery costs.

If the Merchant provides a free domestic return, you must provide the applicable return label or return documentation. Notwithstanding any free domestic return offered by the Merchant, you shall remain responsible for any applicable Velvoros service charges.

10.4 If we receive a cancellation notice from you within 24 hours of placing the order and the order has not yet been processed by us, we will cancel the order and refund the applicable amount. Refunds will typically be processed within 10–15 business days, depending on the payment method and financial institution.

We will not be able to cancel orders that have already been processed, packed, or shipped.

11. Indemnification

11.1 You agree to protect, indemnify, release, safeguard, and hold harmless Velvoros and its respective affiliates, officers, agents, employees, contractors, and service providers against losses, damages, demands, liabilities, claims, actions, proceedings, charges, expenses, penalties, fines, and reasonable legal costs arising from or connected with your use of the Service, to the extent permitted by applicable law.

11.2 Without limiting any other provision of these Conditions, we will not be liable for costs, expenses, losses, fines, penalties, or damages resulting from your breach or non-compliance with these Conditions or from your Shipment or Items being seized, detained, or otherwise processed by customs or government authorities, except where liability cannot legally be excluded.

12. Limitation of Liability and Warranty

12.1 To the fullest extent permitted by applicable law, we shall not be liable to you for:

(a) any defect in an Item, whether or not known to us before delivery;

(b) incomplete, insufficient, or incorrect entry of the Velvoros Address on the Merchant's website;

(d) failure by any party or Merchant to provide complete and sufficient information concerning your Item for customs, regulatory, or delivery purposes;

(e) insufficient or improper packing or addressing information provided by the Merchant;

(f) insufficient or improper packing of an Item before delivery to you;

(g) alleged delivery from the Merchant to the Velvoros Address where there is no proof of delivery or acknowledgment of receipt;

(h) failure by you to take delivery or collect the Shipment after notification;

(i) faults resulting from your unauthorized actions, negligence, or failure to use the Service in accordance with these Conditions;

(j) indirect losses, costs, liabilities, damages, or expenses arising from use of the Service;

(k) failure or delay in providing the Service caused by events outside our reasonable control;

(l) indirect, incidental, special, or consequential loss or damage, including loss of profits, business, or anticipated savings, to the extent permitted by law;

(m) loss or damage arising from circumstances outside our reasonable control, including war, governmental action, explosion, accident, civil disturbance, riot, industrial disputes, strikes, weather conditions, traffic congestion, mechanical breakdown, obstruction of transportation, fire, flood, earthquake, epidemic, or other force majeure events;

(n) losses, costs, liabilities, damages, or expenses arising because you are unable to receive the Service for any reason; or

(o) any delay in or failure of receipt of the Service for reasons beyond our reasonable control.

12.2 To the fullest extent permitted by applicable law, our liability shall not exceed the total monetary value of the Item subject to the Shipment or USD 5,000 per Shipment, whichever is lower.

12.3 We shall not be responsible for exchange-rate fluctuations arising from payments made to Merchants.

12.4 We reserve the right to amend the rates applicable to the Service from time to time.

12.5 These Conditions, the Service, the information on the Velvoros Website, and related facilities are provided on an “as is” and “as available” basis to the fullest extent permitted by law.

12.6 To the fullest extent permitted by applicable law, we disclaim warranties relating to the Velvoros Website and its contents, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

12.7 While we may use reasonable efforts to include accurate and current information on the Velvoros Website, we do not guarantee that all information will always be accurate, timely, complete, or error-free.

12.8 To the fullest extent permitted by law, we shall not be liable for direct, indirect, incidental, special, consequential, or punitive damages resulting from or connected with:

(i) your access to, use of, or inability to use the Velvoros Service or Website;

(ii) reliance on information available on the Website, including delays or inaccuracies in such information; or

(iii) any delay or failure to deliver an Item or make it available for self-collection.

12.9 The exclusions and limitations above apply only to the extent permitted by applicable law. Nothing in these Conditions excludes or limits any consumer rights that cannot legally be excluded or limited.

12.10 We make no warranty regarding the genuineness, authenticity, quality, or condition of any Item purchased from a Merchant's website.

13. Force Majeure

We will not be liable for any delay, breach, or failure to perform obligations under these Conditions, or for any loss, cost, or expense you may incur, where such event is caused by circumstances beyond our reasonable control.

Such circumstances may include adverse weather conditions, serious fire, storm, flood, lightning, earthquake, explosion, acts of a public enemy, terrorism, war, military operations, insurrection, sabotage, civil disorder, epidemic, embargoes, failure or delay of suppliers or contractors, labor disputes, acts of government or governmental agencies, transportation disruptions, or other force majeure events.

14. Notices and Claims

14.1 Any notice, request, or other correspondence in connection with these Conditions shall be in writing and sent by email to the address associated with your Velvoros Account or to another address communicated to us in writing.

14.2 Any claim for loss or damage must:

(a) be made within three (3) days from the date of delivery, where applicable;

(b) be made in writing;

(c) include relevant supporting documents, invoices, receipts, photographs, tracking information, or other evidence reasonably requested by us; and

(d) be submitted to:

15. Terminating the Service

15.1 We reserve the right to terminate or suspend the Service where permitted by applicable law.

15.2 Without limiting the foregoing, we may terminate or suspend your use of the Service if:

(a) there is abuse or misuse of the Service by you or another person using your Velvoros Account;

(b) we reasonably believe that you have breached these Conditions;

(d) you violate applicable laws or these Conditions.

15.3 To the fullest extent permitted by law, we shall not be liable for damage, loss, cost, or expense suffered as a result of termination or suspension resulting from your breach of these Conditions.

15.4 We reserve the right to seek compensation and/or damages where permitted by law for amounts owed or losses resulting from your breach of these Conditions.

15.5 You may terminate your use of the Service by providing written notice to us through the contact information specified in clause 14.

15.6 Termination of your use of the Service shall not release you from liabilities or responsibilities that accrued before termination, including outstanding payment obligations.

16. Waiver

Failure to enforce any term of these Conditions or to exercise any right under these Conditions shall not constitute a waiver of that term or right.

17. Data Protection and Privacy

17.1 Velvoros's Privacy Policy sets out the terms on which we process personal data that we collect from you or that you provide to us and forms part of these Conditions where applicable. By accepting the Service, you acknowledge the applicable Privacy Policy.

17.2 You authorize us to disclose information where required by applicable law, governmental authority, regulator, court order, or other lawful process.

18. Transfer of Agreement

18.1 Velvoros reserves the right to transfer or assign, in whole or in part, its rights and/or obligations under these Conditions to an affiliate, successor, service provider, or other third party, subject to applicable law.

18.2 These Conditions are personal to you. You may not transfer your rights or obligations under these Conditions to a third party without our prior written consent.

19. Amendments and Additional Conditions

19.1 Velvoros may amend these Conditions and the Service from time to time where permitted by applicable law, including to comply with legal requirements or reflect changes to our business operations.

19.2 If Additional Conditions are introduced, they may be made available through the Velvoros Website. By continuing to use the Service after such changes become effective, you agree to be bound by the updated terms, subject to applicable law.

If there is any inconsistency between these Conditions and the Additional Conditions, the Additional Conditions shall prevail to the extent of the inconsistency.

20. Applicable Law and Jurisdiction

These Conditions and any dispute or claim arising out of or in connection with them shall be governed and construed in accordance with the applicable laws of the United States, unless otherwise required by applicable consumer protection or other mandatory laws.

Any dispute shall be subject to the jurisdiction of the courts having appropriate jurisdiction over the matter, subject to any mandatory consumer rights or legal requirements applicable to you.
